Terms and Conditions

RealFoyer — RealFoyer platform, owned and operated by Peregrine IT Solutions LLP, located at Suite 115, H160, Sector 63, Noida, India 201301 (“RealFoyer,” “Peregrine IT Solutions LLP,” “we,” “us,” or “our”).

These Terms and Conditions ("Terms") govern your access to and use of the RealFoyer platform.

These Terms apply to RealFoyer's websites, software platform, hosted real estate websites, mobile applications, IDX/MLS functionality, content-management tools, lead-management features, APIs, integrations, and related products and services (collectively, the "Services").

By creating an account, purchasing a subscription, accepting an order or proposal, or accessing or using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. Eligibility and Authority

To create a paid RealFoyer business account, you must:

• Be at least 18 years old;
• Have legal capacity to enter into an agreement;
• Be authorized to act for the individual, company, team, brokerage, or organization you represent;
• Provide accurate account and business information;
• Comply with applicable laws and professional requirements.

Certain IDX, MLS, or VOW functionality may require you to be an eligible licensed real estate professional, brokerage, MLS participant, subscriber, or authorized user.

2. Services

Depending on the subscription plan, market, MLS availability, and selected add-ons, RealFoyer Services may include:

• Real estate websites;
• Website hosting;
• Website templates and themes;
• Custom website pages;
• IDX, MLS, and VOW integrations;
• Property search;
• Map search;
• Listing detail pages;
• Saved listings;
• Saved searches;
• Property alerts;
• Home valuation tools;
• Community and featured-area pages;
• Blog and content-management tools;
• Lead-capture forms;
• Lead notifications;
• Lead-management functionality;
• Agent mobile applications;
• Consumer-facing mobile applications;
• Customer branding within supported applications;
• Push notifications;
• Email notifications;
• AI-assisted content and functionality;
• SEO and AEO features;
• Analytics;
• Advertising and marketing integrations;
• APIs and webhooks;
• Third-party integrations;
• Team functionality;
• Additional products made available by RealFoyer.

Features may vary between subscription plans and may be subject to usage limits.

3. Subscription Plans and Usage Limits

Your subscription may include limits or allowances relating to authorized users, team members, websites, domains, custom pages, community or featured-area pages, blog or content generation, leads or contacts, email alerts, email marketing, SMS usage, AI usage, storage, mobile applications, MLS feeds, API usage, and other resources.

The limits applicable to your account will be those displayed in the applicable pricing page, checkout process, order, proposal, or account dashboard at the time of purchase or renewal.

RealFoyer may offer additional usage, seats, services, or capacity for additional fees.

We may apply reasonable technical limits, rate limits, or fair-use restrictions to protect the stability and security of the Services.

4. Account Registration and Security

You agree to:

• Provide accurate and current information;
• Keep your login credentials confidential;
• Use reasonable password-security practices;
• Restrict account access to authorized users;
• Be responsible for activity performed through your account;
• Promptly remove access for former employees or contractors;
• Notify RealFoyer promptly if you suspect unauthorized access.

You are responsible for users whom you authorize to access your account.

5. License to Use RealFoyer

Subject to payment of applicable fees and compliance with these Terms, RealFoyer grants you a limited, non-exclusive, non-transferable, revocable right to use the Services during your active subscription for your internal real estate business purposes.

Except where expressly authorized, you may not:

• Resell the Services;
• Sublicense the Services;
• Provide account access to unauthorized third parties;
• Copy the RealFoyer platform;
• Reverse engineer the Services;
• Attempt to obtain RealFoyer source code;
• Circumvent security controls;
• Use the Services to develop a competing product by copying RealFoyer's protected functionality or materials.

6. Customer Websites

RealFoyer may create, configure, host, or provide tools for you to operate a real estate website.

You remain responsible for:

• Your business information;
• Your license information;
• Brokerage disclosures;
• Website content;
• Contact information;
• Marketing claims;
• Privacy disclosures;
• Consumer communications;
• MLS-required disclosures;
• Compliance with applicable real estate advertising rules.

RealFoyer may provide templates or default text for convenience, but you are responsible for determining whether customer-specific content satisfies your legal, brokerage, MLS, and professional obligations.

7. MLS, IDX, VOW, and Listing Data

Listing functionality depends on third-party MLS organizations, real estate associations, brokerages, and authorized data providers.

You agree that:

• Access to listing data is subject to applicable MLS and data-provider rules;
• You will maintain any required license, membership, agreement, or approval;
• You will provide information and signatures reasonably required to establish the feed;
• You will comply with applicable display rules;
• You will display required attribution, trademarks, disclaimers, and notices;
• You will comply with applicable VOW registration or authentication requirements;
• You will not scrape, copy, redistribute, resell, sublicense, or create an unauthorized database of MLS data;
• You will not use listing data for purposes prohibited by the relevant MLS or provider.

RealFoyer may suspend, modify, or remove MLS functionality where required by an MLS, an association, a brokerage, a data provider, applicable law, or a licensing agreement.

RealFoyer is not responsible for a customer's loss of access caused by failure to maintain eligibility or comply with MLS or brokerage requirements.

8. MLS and Third-Party Pass-Through Fees

MLS organizations and third-party data providers may charge setup fees, data-access fees, connection fees, monthly fees, per-user fees, per-feed fees, compliance fees, and other charges.

Unless expressly included in your subscription, such fees may be charged separately or passed through to you.

If an MLS, data provider, telecommunications provider, app store, payment provider, or other required third party increases its charges, RealFoyer may pass through the corresponding increase to customers using the affected service.

9. Accuracy and Availability of Listing Data

RealFoyer generally receives property information from third-party sources.

RealFoyer does not independently verify every listing and does not guarantee that listing information is complete, error-free, current, available at all times, or suitable for any particular decision.

Listing data may be delayed, corrected, removed, or modified by the originating MLS or provider.

Consumers and real estate professionals should independently verify information before relying upon it.

10. Customer Content

"Customer Content" means content provided, uploaded, created, imported, or otherwise made available by or for you through the Services, including logos, branding, photos, videos, text, blog posts, community content, testimonials, documents, lead information, contact data, website content, AI prompts, and other customer-provided materials.

As between you and RealFoyer, you retain ownership of your original Customer Content.

You grant RealFoyer a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, resize, format, modify where technically necessary, and otherwise use Customer Content solely as reasonably necessary to:

• Provide the Services;
• Operate your website or application;
• Deliver requested functionality;
• Maintain security;
• Provide support;
• Improve technical operation of the Services.

You represent that you have the necessary rights and permissions to provide Customer Content to RealFoyer.

11. RealFoyer Intellectual Property

RealFoyer and its licensors retain all rights in the RealFoyer platform and related intellectual property, including software, source code, APIs, databases and database structure, website builder, administration interfaces, reusable components, themes, templates, UI systems, proprietary workflows, algorithms, automation, documentation, designs, and RealFoyer branding and trademarks.

Unless expressly stated in a written agreement, a subscription does not transfer ownership of RealFoyer software, reusable templates, components, or underlying technology.

Customizing a RealFoyer template for a customer does not transfer ownership of the underlying RealFoyer framework.

12. Mobile Applications

Depending on your subscription, RealFoyer may provide an agent-facing RealFoyer application, customer-branded experiences within a RealFoyer application, consumer property-search applications, or separately branded applications where specifically included or purchased.

Separate publication under an individual customer's name in the Apple App Store, Google Play, or another marketplace is not included unless expressly stated in the applicable plan or order.

App-store approval is controlled by the applicable platform. RealFoyer does not guarantee that an app store will approve or continue to distribute an application.

Mobile features may change as necessary to comply with app-store rules, mobile operating-system requirements, MLS requirements, security requirements, or technical limitations.

13. Leads and Client Data

Customers may receive leads and consumer information through RealFoyer.

You are responsible for:

• Lawfully collecting and using such information;
• Providing applicable privacy notices;
• Obtaining required consent;
• Complying with marketing and communication laws;
• Restricting access to authorized personnel;
• Responding to applicable privacy requests.

RealFoyer does not guarantee the quantity, quality, accuracy, availability, or conversion of leads.

14. Email, SMS, Marketing, and Notifications

The Services may enable communications such as property alerts, saved-search notifications, email campaigns, SMS messages, showing notifications, push notifications, lead follow-up, and other marketing or transactional communications.

Customers are responsible for ensuring that communications sent through RealFoyer comply with applicable laws and requirements, including where applicable consent requirements, sender identification, opt-out requirements, unsubscribe requirements, do-not-contact requirements, and recordkeeping requirements.

You must not use RealFoyer to send unlawful spam or unsolicited communications.

RealFoyer may impose usage limits, suspend communication functionality, or require additional verification to protect deliverability, network reputation, consumers, or third-party providers.

15. AI-Assisted Features

RealFoyer may provide AI-assisted functionality including content suggestions, blog creation, SEO content, property descriptions, summaries, search assistance, lead analysis, and other automated functionality.

AI output may be incorrect, incomplete, outdated, misleading, or unsuitable for a particular context.

You must review AI-generated content before publishing, communicating, or relying upon it.

AI-generated information does not constitute legal, financial, tax, appraisal, lending, or professional real estate advice.

You remain responsible for content you publish and decisions you make using AI functionality.

You must not use AI features to generate discriminatory, deceptive, unlawful, defamatory, or infringing content.

16. Fair Housing and Non-Discrimination

You must use the Services in compliance with applicable fair-housing, human-rights, anti-discrimination, advertising, and professional-conduct requirements.

You may not knowingly use RealFoyer to unlawfully discriminate against, exclude, target, or discourage individuals based on characteristics protected by applicable law.

Customers remain responsible for reviewing property descriptions, AI-generated content, advertising, community content, and marketing materials for compliance.

17. Fees and Billing

You agree to pay all fees associated with your selected subscription, order, add-ons, usage, setup, or additional services.

Fees may include subscription fees, setup fees, website customization fees, additional-user fees, MLS fees, data-provider fees, email or messaging overages, AI usage, branded-app fees, domain-related charges, advertising expenditure, third-party charges, custom development, and applicable taxes.

Unless otherwise specified, subscription charges are billed in advance.

You authorize RealFoyer and its payment processor to charge the payment method associated with your account for applicable fees.

You are responsible for maintaining valid billing information.

18. Automatic Renewal

Unless your applicable order or subscription states otherwise, paid subscriptions automatically renew for successive periods equal to the applicable billing cycle until cancelled.

For example, monthly subscriptions renew monthly and annual subscriptions renew annually.

Renewal charges may be processed using the payment method associated with your account.

19. Pricing Changes

RealFoyer may change plan prices, usage allowances, add-on pricing, or other charges.

Pricing changes will generally apply beginning with a future renewal period unless a third-party or MLS pass-through fee changes, a tax changes, additional usage is incurred, or otherwise stated in your order.

Where reasonably practicable, we may provide advance notice of material subscription-price changes.

20. Cancellation

Unless a separate written agreement provides otherwise, you may cancel a subscription by using available account functionality or contacting support@realfoyer.com.

Cancellation becomes effective at the end of the current paid subscription period unless otherwise stated in your order.

Failure to use the Services does not constitute cancellation.

You remain responsible for charges incurred before cancellation becomes effective.

21. Refunds

Except where required by applicable law, expressly stated in a written order, or expressly stated in a published refund policy, fees already paid are non-refundable, including unused portions of a billing period.

RealFoyer may issue credits or refunds at its discretion, but doing so on one occasion does not create an obligation to do so in the future.

22. Taxes

Fees are exclusive of applicable taxes unless expressly stated otherwise.

You are responsible for applicable sales, use, GST, HST, VAT, or similar taxes associated with your purchase, except taxes imposed directly on RealFoyer's income.

23. Third-Party Services and Integrations

RealFoyer may integrate with services supplied by third parties, including MLS providers, CRM systems, mapping services, payment processors, analytics services, advertising platforms, AI providers, email services, SMS and telecommunications providers, social-media services, domain registrars, and app stores.

Third-party services are controlled by their respective providers and may be subject to separate terms.

RealFoyer does not guarantee that any third-party integration will remain available indefinitely.

We may add, replace, modify, or discontinue integrations.

24. Service Availability and Changes

We seek to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.

Availability may be affected by maintenance, software updates, cloud infrastructure, MLS systems, data providers, internet failures, telecommunications providers, cybersecurity incidents, app stores, third-party APIs, and events outside our reasonable control.

RealFoyer may modify, improve, replace, or discontinue functionality as our products evolve.

We will use reasonable efforts to avoid material disruption where practicable.

25. Suspension

RealFoyer may suspend or restrict some or all Services if reasonably necessary because of non-payment, suspected fraud, security threats, abuse, violation of these Terms, violation of the Acceptable Use Policy, MLS or brokerage instructions, data-provider requirements, legal obligations, excessive resource usage, or risks to other customers or infrastructure.

Where appropriate, we may provide an opportunity to correct a violation before suspension.

Immediate action may be taken where reasonably necessary to address security, fraud, unlawful activity, or third-party compliance requirements.

26. Termination

RealFoyer may terminate an account for material violation of these Terms, persistent non-payment, unlawful activity, fraud, misuse of listing data, or where required by law or an applicable MLS/data provider.

Upon termination:

• Access may be disabled;
• Hosted websites may be taken offline;
• Mobile functionality may stop;
• Integrations may be disconnected;
• Listing feeds may be terminated;
• Data may be retained or deleted in accordance with the Privacy Policy and applicable obligations.

Customers should export or retain information they are legally required to preserve before cancellation or termination.

27. Domains

Where RealFoyer assists with a domain name:

• Domain registration may be provided through a third-party registrar;
• Registrar rules apply;
• Registration and renewal charges may be separate;
• The customer is responsible for providing accurate registrant information;
• Continued ownership of a domain may depend on timely payment and registrar requirements.

Domain transfer requests are subject to payment of outstanding charges, registrar requirements, security verification, and applicable agreements.

28. No Guarantee of Leads or Business Results

RealFoyer does not guarantee leads, lead quality, lead conversion, website traffic, search rankings, SEO results, AEO results, property transactions, sales, revenue, advertising results, or business growth.

Results depend on numerous factors outside RealFoyer's control.

29. Home Valuation and Similar Tools

Any automated valuation, estimate, market information, or similar tool made available through the Services is informational only unless expressly stated otherwise.

Such information does not constitute a professional appraisal, a formal comparative market analysis, financial advice, lending advice, or legal advice.

Users should consult appropriate qualified professionals before making decisions.

30. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

RealFoyer does not warrant that Services will always be uninterrupted, that Services will be error-free, that all listing data will be accurate, that all third-party integrations will remain available, that AI output will be accurate, that security incidents will never occur, or that Services will produce a particular business result.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

31. Limitation of Liability

To the maximum extent permitted by applicable law, RealFoyer and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, leads, business opportunity, goodwill, data, or anticipated savings.

Except where applicable law prohibits such a limitation, RealFoyer's aggregate liability arising out of or relating to the Services will not exceed the total amount paid by the applicable customer to RealFoyer for the affected Services during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be limited or excluded.

32. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless RealFoyer and its affiliates, officers, employees, and contractors from third-party claims, losses, damages, liabilities, and reasonable expenses arising out of or relating to:

• Your Customer Content;
• Your use of the Services;
• Your violation of these Terms;
• Your violation of applicable law;
• Your violation of MLS or brokerage rules;
• Your marketing communications;
• Your handling of consumer information;
• Your infringement of third-party rights;
• Your misuse of AI-generated content.

33. Force Majeure

RealFoyer will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, government action, war or civil disturbance, labour disputes, telecommunications failures, internet outages, cloud-provider outages, cyberattacks, third-party data-provider outages, MLS outages, and app-store actions.

34. Privacy

Your use of the Services is also governed by the RealFoyer Privacy Policy.

35. Acceptable Use

Your use of the Services is subject to the RealFoyer Acceptable Use Policy.

Violation of the Acceptable Use Policy may result in suspension or termination.

36. Changes to These Terms

We may update these Terms from time to time.

Material changes may be communicated through the RealFoyer website, the platform, email, or another reasonable electronic method.

The updated Terms will display a revised "Last Updated" date.

37. Assignment

You may not assign or transfer your rights under these Terms without RealFoyer's prior written consent.

RealFoyer may assign these Terms in connection with a corporate restructuring, merger, acquisition, financing, or sale of business or assets.

38. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

39. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.

40. Entire Agreement

These Terms, the applicable order or subscription details, Privacy Policy, Acceptable Use Policy, and any other expressly incorporated written agreement constitute the agreement concerning your use of the Services.

Where an executed order or separate written agreement expressly conflicts with these Terms, the expressly negotiated provision in that agreement will control for the relevant matter.

41. Governing Law and Jurisdiction

Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdiction that applicable law does not permit the parties to waive, disputes will be subject to the courts having jurisdiction over RealFoyer's registered office.
